Liszt Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Liszt, a platform provided by Liszt LLC (“Liszt,” “we,” “us,” or “our”).
1. Overview
Liszt is a web-based scheduling and administration platform designed primarily for educational institutions, including schools of music. Liszt enables organizations to manage events, scheduling, attendance, and related administrative processes.
Liszt may be used in two ways:
- Institutional Use: Liszt is licensed or authorized by an educational institution and used by faculty, staff, students, and other authorized users under the institution’s control.
- Individual Use: Liszt may also be used by individual users (such as independent instructors, performers, or administrators) outside of an institutional environment.
These Terms apply to both types of use. Where applicable, certain provisions apply differently depending on whether Liszt is used under an Institutional Account or an Individual Account.
2. Parties and Definitions
For purposes of these Terms:
- “Institution” means an educational organization or other entity that licenses or authorizes use of Liszt.
- “Institutional Account” means an account provisioned, managed, or controlled by an Institution.
- “Individual Account” means an account created and managed directly by an individual user without an associated Institution.
- “Authorized Users” means individuals (such as faculty, staff, or students) who are granted access to Liszt through an Institutional Account.
- “You” refers to:
- (a) an Institution,
- (b) an Authorized User acting under an Institution, or
- (c) an individual using an Individual Account,
as applicable.
If you are using Liszt on behalf of an Institution, you represent and warrant that you have the authority to bind that Institution to these Terms.
Liszt LLC is the provider of the Services.
Transition of Service Provider:
Effective July 1, 2026, operation of Liszt is transferred from NoteForge LLC to Liszt LLC. Liszt LLC assumes responsibility for providing the Services from that date forward.
Liszt is operated by Liszt LLC under license from NoteForge LLC. All intellectual property rights in the Liszt platform, including software, systems, and associated branding, are owned by NoteForge LLC. These Terms do not grant any ownership rights in the platform to users.
3. Acceptance of Terms
By accessing or using Liszt, you agree to be bound by these Terms and all policies referenced herein, including the Liszt Privacy & Data Policy and the Liszt Information Security Policy.
Subject to these Terms, Liszt LLC grants you a limited, non-exclusive, non-transferable right to access and use the Services for their intended educational, administrative, or professional purposes.
If you do not agree to these Terms, you may not access or use the Services.
If you use Liszt through an Institutional Account, your use is also subject to any applicable institutional policies and administrative controls established by your Institution.
Liszt may update these Terms from time to time. If changes are material, we will provide reasonable notice to institutional contacts or through the Services. Continued use of Liszt after such changes take effect constitutes acceptance of the updated Terms.
4. Accounts, Access, and Control
4.1 Account Types
Liszt accounts may be provisioned as either:
- Institutional Accounts, managed by an Institution and used by Authorized Users; or
- Individual Accounts, created and managed directly by individual users.
The features, permissions, and control of an account may differ depending on the account type.
4.2 Institutional Account Control
For Institutional Accounts:
- The Institution retains administrative control over all accounts provisioned under its domain or system.
- The Institution may:
- create, modify, suspend, or remove user access
- assign roles and permissions
- access, export, or delete data associated with its account
Authorized Users access Liszt at the direction of their Institution and may have their access modified or revoked at any time by the Institution.
Liszt is not responsible for internal institutional policies governing access, use, or data management.
4.3 Individual Account Control
For Individual Accounts:
- The individual user is responsible for managing their account and associated data.
- The user may:
- create, modify, or delete their data
- manage access to any content they choose to share
Individual users are solely responsible for maintaining access to their accounts.
4.4 Account Information and Security
You agree to:
- Provide accurate and complete information when creating an account
- Maintain the confidentiality of login credentials
- Promptly notify Liszt of any unauthorized access or security concerns
You are responsible for all activity that occurs under your account, except to the extent caused by Liszt’s failure to maintain reasonable security practices.
4.5 Authorized Use
You agree to use Liszt only:
- In compliance with applicable laws and regulations
- In accordance with these Terms
- For legitimate educational, administrative, or professional purposes
You may not:
- Use Liszt to store or transmit unlawful, harmful, or infringing content
- Attempt to gain unauthorized access to systems or data
- Interfere with or disrupt the operation of the Services
4.6 Account Suspension and Termination
Liszt may suspend or restrict access to accounts that:
- Violate these Terms
- Present a security risk
- Disrupt the integrity or availability of the Services
Where reasonably possible, Liszt will provide notice prior to suspension.
For Institutional Accounts, Liszt will generally coordinate with the Institution before taking action affecting multiple users, except in cases requiring immediate response.
4.7 Age Requirements
Liszt is intended for use by individuals affiliated with educational institutions or by individuals acting in a professional capacity.
If you are using Liszt through an Institution, your eligibility is determined by that Institution.
For Individual Accounts, you must be able to form a legally binding agreement under applicable law.
5. Description of Services and Availability
5.1 Description of Services
Liszt provides a web-based platform for scheduling, coordination, and administrative management. Features may include, but are not limited to:
- Event and rehearsal scheduling
- Room and resource management
- Attendance tracking and reporting
- Administrative workflows and communications
- Integration with third-party systems (e.g., calendar services)
The specific features available may vary depending on account type, configuration, and subscription level.
5.2 Service Access
Liszt is accessed through supported web browsers and internet-connected devices.
Access to the Services may be provided through domains and infrastructure managed by Liszt LLC. Control of such domains or infrastructure does not confer any ownership rights in the Liszt platform or its underlying intellectual property.
You are responsible for:
- Obtaining and maintaining internet access
- Maintaining compatible devices and software
Liszt is not responsible for issues arising from user hardware, network conditions, or third-party software outside of its control.
5.3 Service Availability
Liszt is designed to provide reliable and continuous service. However, availability may be affected by:
- Scheduled maintenance
- System updates or improvements
- Infrastructure or network disruptions
- Events outside of Liszt’s reasonable control
Liszt will make reasonable efforts to minimize disruption and, where practical, provide advance notice of planned maintenance.
Liszt does not guarantee uninterrupted or error-free operation.
5.4 Service Changes and Improvements
Liszt is an evolving platform. We may:
- Add, modify, or remove features
- Improve performance, usability, or security
- Adjust functionality to meet institutional or technical requirements
Where changes materially affect core functionality, Liszt will make reasonable efforts to provide advance notice.
Continued use of the Services following such changes constitutes acceptance of the updated functionality.
5.5 Beta and Experimental Features
Liszt may offer certain features as beta, preview, or experimental (“Beta Features”).
- Beta Features are provided for evaluation and testing purposes
- They may be modified or discontinued at any time
- They may be subject to reduced support or reliability
Liszt is not liable for issues arising from the use of Beta Features.
5.6 Third-Party Integrations
Liszt may integrate with third-party services (such as calendar providers or institutional systems).
- Use of such integrations may be subject to the terms and policies of the third-party provider
- Liszt is not responsible for the availability, accuracy, or performance of third-party services
6. Fees, Billing, and Subscription Terms
6.1 Subscription Model
Liszt may be offered under paid or free subscription plans. Pricing, features, and access levels may vary depending on:
- Account type (Institutional or Individual)
- Number of users or scope of use
- Selected features or service tier
6.2 Institutional Billing
For Institutional Accounts:
- Fees are typically billed directly to the Institution via invoice
- Payment terms will be specified in the applicable invoice or agreement
- Unless otherwise agreed in writing, subscriptions are annual and renew automatically at the end of each term
Liszt will make reasonable efforts to provide advance notice of renewal.
Institutions may cancel renewal by providing notice prior to the renewal date.
6.3 Individual Billing
For Individual Accounts:
- Paid subscriptions, where applicable, may be billed through automated payment methods (such as credit or debit card)
- Subscriptions may renew automatically at the end of each billing cycle unless canceled
You are responsible for maintaining valid payment information and for all charges incurred under your account.
6.4 Changes to Fees
Liszt may update pricing from time to time.
- For Institutional Accounts, updated pricing will apply upon renewal unless otherwise agreed
- For Individual Accounts, pricing changes will take effect at the start of the next billing cycle
Liszt will make reasonable efforts to provide advance notice of pricing changes.
6.5 Non-Payment
Liszt reserves the right to suspend or restrict access to paid Services in the event of non-payment.
Where reasonably possible, Liszt will provide notice and an opportunity to resolve outstanding balances before taking action.
For Institutional Accounts, Liszt will make reasonable efforts to coordinate with the Institution prior to any service interruption.
6.6 Refunds
Fees are generally non-refundable except:
- Where required by applicable law
- Where otherwise agreed in writing
- In cases where Liszt materially fails to provide the Services as described
For Institutional Accounts, any refund terms may be specified in a separate agreement or invoice.
7. Data Ownership and Use
7.1 Ownership of Data
Ownership of data in Liszt depends on the type of account:
- Institutional Accounts:
All data entered into Liszt is owned by the Institution. Authorized Users create and manage data on behalf of that Institution.
- Individual Accounts:
All data entered into Liszt is owned by the individual user.
Liszt LLC does not claim ownership of user or institutional data.
7.2 Control of Data
- For Institutional Accounts, the Institution has full control over data associated with its account, including the ability to access, export, modify, or delete such data.
- For Individual Accounts, the individual user has control over their data, subject to these Terms.
Liszt provides tools and access mechanisms to enable reasonable data management and export.
7.3 Limited License to Liszt
To provide the Services, you grant Liszt LLC a limited, non-exclusive, worldwide, royalty-free license to:
- host, store, and process your data
- transmit data as necessary to support system functionality
- display data within the Services to authorized users
This license exists solely for the purpose of operating, maintaining, and improving the Services.
Liszt does not use your data for advertising or resale.
7.4 Data Processing and Aggregation
Liszt may process data to:
- maintain system functionality and performance
- monitor usage and diagnose issues
- improve features and user experience
Liszt may generate aggregated and anonymized data that does not identify any individual or institution. Such data may be used for internal analysis, reporting, or service improvement.
7.5 Data Export and Portability
Liszt supports reasonable access to and export of data:
- Institutions and individual users may request export of their data in a common, machine-readable format
- Export functionality may be provided through the Services or upon request
Upon termination of service, data access and retention are governed by the Data Retention and Deletion provisions described in these Terms and the Liszt Privacy & Data Policy.
7.6 User Responsibilities for Data
You are responsible for:
- Ensuring that you have the necessary rights to input, upload, or manage data within Liszt
- Ensuring that your use of data complies with applicable laws, institutional policies, and third-party rights
Liszt does not monitor all user content but reserves the right to remove or restrict access to content that violates these Terms or applicable law.
8. Privacy, Security, and Compliance
8.1 Privacy Policy
Liszt’s collection and use of data is governed by the Liszt Privacy & Data Policy, which is incorporated into these Terms by reference.
By using Liszt, you acknowledge and agree to the practices described in the Liszt Privacy & Data Policy.
8.2 Information Security
Liszt implements reasonable administrative, technical, and organizational measures to protect data against unauthorized access, disclosure, alteration, or destruction.
These measures include, but are not limited to:
- Encrypted transmission of data (TLS/HTTPS)
- Access controls based on least-privilege principles
- Secure system configuration and monitoring
- Regular backups and recovery procedures
Additional details are provided in the Liszt Information Security Policy, which is incorporated into these Terms by reference.
8.3 Institutional Responsibilities
For Institutional Accounts:
- Institutions are responsible for managing user access, roles, and permissions
- Institutions are responsible for ensuring that their use of Liszt complies with applicable laws, regulations, and internal policies
- Institutions are responsible for determining what data is entered into Liszt and how it is used within their organization
Liszt does not assume responsibility for institutional governance, policy enforcement, or user behavior within an Institution.
8.4 User Responsibilities
Users agree to:
- Protect account credentials and access
- Use the Services in compliance with applicable laws and policies
- Avoid introducing sensitive data that is not necessary for the operation of Liszt
Users are responsible for their own actions within the Services, subject to the limitations described in these Terms.
8.5 FERPA Alignment
Liszt is designed to support institutional compliance with the Family Educational Rights and Privacy Act (FERPA).
For Institutional Accounts:
- Liszt functions as a service provider processing data on behalf of the Institution
- Access to data is restricted to authorized users under institutional control
- Institutions retain control over educational records stored in Liszt
Liszt does not independently determine whether data constitutes an education record under FERPA and does not assume the role of the Institution in interpreting or enforcing FERPA obligations.
8.6 Security Incidents
In the event of a confirmed security incident involving unauthorized access to data:
- Liszt will take reasonable steps to investigate and contain the incident
- Liszt will notify affected Institutions or users without unreasonable delay, consistent with applicable law and the needs of incident response
Notifications will be made through appropriate communication channels, such as email or other direct contact methods.
9. Acceptable Use and Restrictions
9.1 Permitted Use
You may use Liszt only:
- In accordance with these Terms
- In compliance with applicable laws and regulations
- For legitimate educational, administrative, or professional purposes
9.2 Prohibited Conduct
You may not use Liszt to:
- Violate any applicable law or regulation
- Infringe the intellectual property or other rights of others
- Upload, store, or transmit unlawful, harmful, or abusive content
- Attempt to gain unauthorized access to any system, account, or data
- Interfere with or disrupt the operation or security of the Services
- Introduce malicious code, viruses, or other harmful technologies
- Circumvent or attempt to bypass access controls or security measures
9.3 System Integrity and Fair Use
You agree not to:
- Use Liszt in a manner that places excessive load on infrastructure
- Attempt to reverse engineer, decompile, probe, or extract the source code of the Services, except where permitted by law
- Use automated tools (such as bots or scripts) to access or interact with Liszt in a way that disrupts normal operation
Liszt reserves the right to monitor system usage as necessary to maintain performance, security, and reliability.
9.4 Content Responsibility
You are responsible for all content you input, upload, or share through Liszt.
You represent and warrant that:
- You have the necessary rights to use and share such content
- Your content complies with applicable laws and these Terms
Liszt may remove or restrict access to content that violates these Terms or presents a risk to users or the system.
9.5 Enforcement
Liszt may investigate suspected violations of this Section and take appropriate action, including:
- Restricting or suspending access
- Removing content
- Coordinating with Institutions in the case of Institutional Accounts
Liszt will make reasonable efforts to act proportionally and provide notice where appropriate.
10. Disclaimer of Warranties
Liszt is provided on an “as is” and “as available” basis.
To the fullest extent permitted by applicable law, Liszt LLC disclaims all warranties, express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of the Services
Liszt does not warrant that:
- The Services will be uninterrupted, error-free, or fully secure
- Any defects or errors will be corrected immediately
- The Services will meet all specific requirements or expectations
You acknowledge that:
- Use of Liszt is at your own discretion and risk
- You are responsible for how you use the Services and any outcomes resulting from that use
Nothing in this Section limits any rights that cannot be excluded under applicable law.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Liszt LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits
- Loss of data
- Loss of business opportunities
- Service interruptions or downtime
arising out of or related to the use of, or inability to use, the Services, even if Liszt has been advised of the possibility of such damages.
Liszt’s liability for any claim arising out of or relating to the Services shall be limited to direct damages only.
Nothing in these Terms shall be interpreted to:
- Limit liability where such limitation is prohibited by applicable law, or
- Override or restrict any rights or obligations applicable to public institutions under governing law
Each party is responsible for its own acts and omissions.
12. Termination and Data Handling
12.1 Termination by You
You may stop using Liszt at any time.
- For Individual Accounts, you may terminate your account by discontinuing use or by requesting account deletion.
- For Institutional Accounts, termination or non-renewal may be initiated by the Institution in accordance with applicable agreements or billing terms.
12.2 Termination by Liszt
Liszt may suspend or terminate access to the Services:
- For violations of these Terms
- For non-payment of applicable fees
- To address security risks or system integrity concerns
- If required by law
Where reasonably possible, Liszt will provide advance notice and an opportunity to address the issue before termination.
For Institutional Accounts, Liszt will make reasonable efforts to coordinate with the Institution prior to any termination affecting multiple users, except where immediate action is required.
12.3 Effect of Termination
Upon termination of access to the Services:
- Your right to use Liszt will cease
- Access to data within the Services may be limited or disabled
Termination does not relieve either party of obligations accrued prior to termination.
12.4 Data Access and Retrieval
Following termination:
- Institutions and individual users may request access to and export of their data
- Data will be made available in a common, machine-readable format where reasonably practicable
Liszt will make reasonable efforts to support data export during the post-termination period.
12.5 Data Retention and Deletion
After termination:
- Data will remain available for retrieval for a limited period (typically 30 days, unless otherwise agreed)
- After this period, data may be securely deleted from active systems and backups in accordance with standard retention practices
Liszt is not responsible for maintaining data after the retention period has expired.
12.6 Survival
The following provisions will survive termination of these Terms:
- Data Ownership and Use
- Intellectual Property Ownership
- Confidentiality and access restrictions
- Disclaimer of Warranties
- Limitation of Liability
- Any other provisions that by their nature should survive termination
13. Governing Law
These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of North Dakota, without regard to its conflict of laws principles.
For Institutional Accounts associated with public institutions, nothing in these Terms shall be interpreted to:
- Waive or limit any rights, immunities, or protections available under applicable law
- Require the Institution to submit to jurisdiction or venue outside of what is permitted by law
14. General Terms
14.1 Entire Agreement
These Terms, together with the Liszt Privacy & Data Policy and the Liszt Information Security Policy, constitute the entire agreement between you and Liszt LLC regarding the Services and supersede all prior agreements or understandings relating to the subject matter.
14.2 Changes to Terms
Liszt may update these Terms from time to time.
If changes are material, Liszt will provide reasonable notice to institutional contacts or through the Services. Continued use of Liszt after such changes take effect constitutes acceptance of the updated Terms.
14.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without prior written consent from Liszt, except that Institutions may assign these Terms as part of internal administrative changes.
Liszt may assign or transfer these Terms as part of a merger, reorganization, or sale of assets, provided that such assignment does not materially reduce the protections afforded to users under these Terms.
14.5 No Waiver
Failure by Liszt to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
